FINU SERVICES TERMS & CONDITIONS

These Terms of Service ("Terms") govern your access to and use of the FINU application, website, software, artificial intelligence services and any related products or services (collectively, the "Services").

The Services are operated by Emerge LLC, a company incorporated in Sharjah Media City (Shams), United Arab Emirates ("Emerge", "FINU", "Company", "we", "our", or "us").

Please read these Terms carefully before using FINU.

By creating an account, accessing or using any part of the Services, you acknowledge that you have read, understood and agree to be legally bound by these Terms, together with our Privacy Policy and any additional policies that may apply to specific features or services.

If you do not agree with these Terms, you must not access or use the Services.

1. Our Mission

FINU is an AI-powered financial assistant built to help people better understand their finances, make more informed financial decisions and improve their financial wellbeing through intelligent insights, education and personalized experiences.

Our goal is simple:Help people become better with money through artificial intelligence.

FINU combines modern technology, artificial intelligence and trusted financial data to simplify personal finance and provide users with a more engaging financial experience.

2. About FINU

FINU is operated by Emerge LLC, a technology company incorporated in Sharjah Media City (Shams), United Arab Emirates.

FINU is a software platform that provides artificial intelligence tools designed to assist users in understanding and managing their finances.

FINU itself is not:a bank;a financial institution;a payment service provider;an investment adviser;a broker;a lender;an insurance company;a regulated financial services provider.

Where financial products or regulated services are made available through FINU, those products and services are offered exclusively by appropriately licensed third-party providers operating under their own terms, conditions and regulatory obligations.

FINU acts solely as a technology platform facilitating access to those services where available.

3. Acceptance of These Terms

By accessing or using FINU, you confirm that:you are legally capable of entering into a binding agreement;you have read and understood these Terms;you agree to comply with these Terms;you will comply with all applicable laws and regulations.

If you are using FINU on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

4. Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your country of residence, whichever is higher, to use FINU.

By using FINU you represent and warrant that:all information provided is true, accurate and complete;you will keep your information updated;you are not prohibited from using our Services under applicable law;your use of FINU does not violate any legal obligation applicable to you.

We reserve the right to refuse or terminate access where we reasonably believe these requirements are not satisfied.

5. Your FINU Account

Certain features require a FINU account.

When creating an account you agree to:provide accurate registration information;maintain the confidentiality of your login credentials;notify us promptly of any unauthorized use of your account;take reasonable steps to protect your account.

You remain responsible for all activity occurring through your account unless otherwise required by law.

Not every feature will be available in every country or to every user.

We continually improve FINU and reserve the right to add, modify or remove features at any time.

7. Artificial Intelligence Services

FINU uses artificial intelligence ("AI") to generate insights, explanations, recommendations and responses.

Our AI is designed to assist users in understanding financial information and making more informed decisions.

Although we continually improve our AI models, AI-generated content is produced automatically and may occasionally contain inaccuracies, omissions or outdated information.

AI responses should be considered informational only.

You should independently verify important information before making financial, legal, tax, business or other significant decisions.

FINU does not guarantee that every AI-generated response will always be accurate, complete, suitable or available.

AI models continue to evolve, meaning responses may change over time as our systems improve.

8. No Financial Advice

FINU provides educational information and AI-generated insights.

FINU does not provide:regulated financial advice;investment advice;legal advice;tax advice;accounting advice;fiduciary services.

Nothing within FINU should be interpreted as a recommendation to buy, sell or enter into any financial product or service.

All financial decisions remain solely your responsibility.

Where appropriate, you should consult qualified professionals before making important financial decisions.

9. Financial Information

To provide personalized insights, FINU may process financial information that you choose to provide or authorize us to access.

This may include:bank statements;transaction history;income information;spending activity;budgets;financial goals;recurring payments;subscription information;other financial information voluntarily provided by you.

FINU processes such information solely for the purposes described in our Privacy Policy and to improve your experience with the Services.

You remain responsible for ensuring that the information you provide is accurate and that you have the legal right to provide it.

10. Connected Financial Accounts

Certain FINU features may allow you to connect financial accounts or import financial information from third-party institutions or service providers.

By connecting an account, you authorize FINU and our authorized service providers to access, retrieve and process the information necessary to deliver the Services you request.

FINU does not own, control or modify the information received from third-party providers.

The availability, accuracy and completeness of such information depends on the relevant financial institution or service provider.

You acknowledge that connected accounts may become unavailable, disconnected or delayed from time to time due to maintenance, technical issues or changes made by third-party providers.

You may disconnect linked accounts at any time through the application where supported.

These may include, without limitation:identity verification providers;open banking providers;payment service providers;card issuers;financial institutions;analytics providers;cloud infrastructure providers;artificial intelligence providers;customer support platforms; andother technology partners.

These third parties operate independently from FINU.

Where a regulated financial product or regulated financial service is offered through FINU, that product remains the responsibility of the licensed provider offering it.

FINU is not responsible for the availability, performance or actions of independent third-party providers.

Your use of third-party services may also be subject to additional terms, privacy policies and agreements published by those providers.

12. Subscription Plans

FINU may offer free and paid subscription plans.

Subscription features, pricing, usage limits and benefits may change over time as FINU evolves.

Subscription details will be presented before purchase.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period until cancelled.

You may cancel your subscription at any time.

Cancellation prevents future renewals but does not automatically entitle you to a refund for the current billing period unless required by applicable law.

FINU may also introduce promotional plans, introductory pricing, free trials or partner-sponsored subscriptions from time to time.

Eligibility for promotional offers is determined solely by FINU.

13. Billing & Payments

If you purchase a paid subscription, you authorize the applicable payment processor to charge your selected payment method.

You agree to maintain valid payment information while your subscription remains active.

If payment cannot be completed, FINU may:retry the payment;suspend premium features;downgrade your subscription;cancel your subscription.

Prices displayed within the application include applicable taxes only where required by law.

FINU reserves the right to modify pricing upon reasonable notice.

Pricing changes will not affect an active billing period but may apply upon renewal.

14. Refund Policy

Except where prohibited by law, subscription fees are non-refundable.

Refund requests may be considered on a case-by-case basis at FINU's sole discretion.

Nothing in these Terms limits any mandatory consumer rights available under applicable law.

15. User Responsibilities

You agree to use FINU responsibly.

You are responsible for:maintaining accurate account information;safeguarding your login credentials;reviewing AI-generated insights before relying upon them;complying with applicable laws;ensuring that information you upload belongs to you or that you are legally authorized to provide it.

You remain solely responsible for every financial decision you make.

16. Acceptable Use

You agree that you will not:use FINU for unlawful purposes;submit false or misleading information;impersonate another individual or organization;attempt unauthorized access to FINU systems;interfere with the operation or security of the Services;upload malicious software or harmful code;scrape, harvest or extract FINU content through automated means without authorization;reverse engineer, decompile or attempt to discover FINU source code except where expressly permitted by law;abuse, manipulate or intentionally misuse AI-generated responses;use FINU to create fraudulent, misleading or deceptive content;interfere with other users' enjoyment of the Services.

FINU reserves the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts.

17. Intellectual Property

FINU, including its software, artificial intelligence systems, trademarks, logos, designs, interfaces, graphics, content and technology, is owned by or licensed to Emerge LLC and protected by intellectual property laws.

Subject to these Terms, FINU grants you a limited, non-exclusive, non-transferable and revocable license to access and use the Services for your personal, lawful use.

You may not copy, reproduce, distribute, modify, create derivative works from or commercially exploit any part of FINU without our prior written permission.

Nothing in these Terms transfers ownership of FINU's intellectual property to you.

18. Feedback

We welcome suggestions, ideas and feedback regarding FINU.

If you provide feedback, you grant Emerge LLC a worldwide, perpetual, irrevocable, royalty-free license to use, modify, publish, commercialize and incorporate that feedback into FINU without compensation or attribution.

You are under no obligation to provide feedback, and we are under no obligation to implement it.

19. Privacy

Your privacy is important to us.

Our collection, use, storage and disclosure of personal information are governed by our Privacy Policy, which forms part of these Terms.

By using FINU, you acknowledge that we may process your personal information in accordance with the Privacy Policy.

Where required by law, we will obtain your consent before processing personal information for specific purposes.

From time to time, FINU may become unavailable due to:scheduled maintenance;emergency maintenance;software updates;technical failures;internet or telecommunications outages;third-party service interruptions;cybersecurity incidents;events beyond our reasonable control.

We may suspend or restrict access to all or part of the Services where reasonably necessary to protect users, maintain security, comply with legal obligations or improve the platform.

We will make reasonable efforts to minimize disruptions whenever practicable.

23. Service Improvements

FINU is an evolving platform.

We continually improve our Services by introducing new features, updating existing functionality and enhancing our artificial intelligence systems.

Accordingly, we may at any time:add new features;modify existing features;discontinue certain functionality;redesign the user interface;replace technology providers;update AI models;improve system performance.

Such changes may occur without prior notice unless notice is required by applicable law.

24. Beta Features

From time to time, FINU may offer experimental or beta features.

Beta features are made available to help us evaluate functionality before wider release.

Beta features may:contain bugs;change substantially;be modified without notice;be discontinued permanently.

Users access beta features voluntarily and acknowledge that beta functionality may not operate as intended.

25. Artificial Intelligence Limitations

FINU uses artificial intelligence to generate responses, insights and recommendations.

Artificial intelligence is an evolving technology.

Accordingly:AI responses may contain inaccuracies;AI may misunderstand user input;AI may provide incomplete information;AI may produce different responses to similar questions;AI responses may change as our systems improve.

Users should exercise independent judgment before relying upon AI-generated information.

FINU does not guarantee that AI-generated outputs will always be accurate, complete or appropriate for every situation.

AI-generated content should not replace professional financial, legal, tax or accounting advice.

26. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Emerge LLC makes no representations or warranties, express or implied, regarding:uninterrupted availability;accuracy;reliability;merchantability;fitness for a particular purpose;compatibility;non-infringement;security;freedom from viruses or malicious code.

While we continually work to improve FINU, we cannot guarantee that every feature will always function without interruption or error.

27. Limitation of Liability

To the maximum extent permitted by law, Emerge LLC, its affiliates, directors, officers, employees, contractors, licensors and partners shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising from or relating to your use of FINU.

This includes, without limitation:loss of profits;loss of income;loss of business opportunities;loss of goodwill;loss of savings;loss of data;interruption of business;reliance upon AI-generated information;interruptions caused by third-party providers.

Where liability cannot legally be excluded, our liability shall be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

28. Indemnification

You agree to indemnify, defend and hold harmless Emerge LLC and its affiliates, directors, officers, employees, contractors and partners from any claims, damages, liabilities, costs and expenses arising from:your breach of these Terms;your misuse of the Services;your violation of applicable laws;infringement of another person's rights;content or information you provide through FINU.

This obligation survives termination of your use of the Services.

29. Suspension & Termination

We may suspend, restrict or terminate your access to FINU immediately where we reasonably believe that:you have breached these Terms;your use creates security risks;fraudulent or unlawful activity is suspected;required by law;necessary to protect FINU, our users or our partners.

You may stop using FINU at any time.

Termination of your account does not affect rights or obligations that accrued prior to termination.

Certain provisions of these Terms, including intellectual property, disclaimers, limitation of liability and indemnification, shall survive termination.

30. Electronic Communications

By using FINU, you agree to receive communications electronically.

These communications may include:account notifications;security alerts;product updates;legal notices;subscription information;customer support communications.

Where required by law, you may opt out of marketing communications, but you may continue to receive essential service-related notices.

31. Force Majeure

Emerge LLC shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to:natural disasters;acts of government;war;terrorism;civil unrest;labor disputes;internet failures;telecommunications failures;cyberattacks;power outages;pandemics.

32. Changes to these Terms

We may update these Terms from time to time.

Where changes are material, we will make reasonable efforts to notify users before the revised Terms become effective.

Your continued use of FINU after updated Terms take effect constitutes acceptance of those revised Terms.

If you do not agree with the revised Terms, you should discontinue using the Services.

33. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates, unless otherwise required by applicable law.

If you access FINU from outside the United Arab Emirates, you remain responsible for complying with the laws applicable in your own jurisdiction.

34. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure by Emerge LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

These Terms, together with the Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Emerge LLC regarding your use of FINU.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Emerge LLC may assign these Terms as part of a merger, acquisition, corporate restructuring or sale of assets.

36. Regulatory Compliance

FINU does not itself provide regulated financial services unless expressly stated.

FINU reserves the right to restrict, suspend or withdraw access to particular features where required by law or regulatory obligations.

FINU is not responsible for decisions made based upon inaccurate, incomplete or outdated information supplied by users or third parties.

You may communicate with FINU through:AI conversations;customer support;email;feedback forms;surveys;other communication channels.

You agree that communications submitted through FINU:are lawful;do not infringe third-party rights;are not abusive, threatening or defamatory;do not contain malicious software.

FINU reserves the right to remove content or suspend accounts that violate these standards.

40. Responsible Use of Artificial Intelligence

FINU is designed to assist—not replace—human judgment.

You agree not to rely exclusively on AI-generated outputs when making significant financial or personal decisions.

FINU encourages users to:verify important information;exercise independent judgment;seek professional advice where appropriate.

Artificial intelligence should be viewed as a decision-support tool rather than a substitute for professional expertise.

41. Future Products & Services

FINU continuously evolves.

From time to time we may introduce additional products, services or functionality.

Certain future features may require:additional eligibility requirements;acceptance of supplemental terms;verification procedures;separate pricing.

Nothing in these Terms obligates FINU to continue offering any particular feature indefinitely.

42. Confidential Information

Certain information made available through FINU may be confidential or proprietary.

You agree not to disclose, reproduce or distribute confidential information obtained through the Services except as permitted by law.

Likewise, FINU will take reasonable measures to protect confidential information provided by users in accordance with our Privacy Policy and applicable law.

Such assignment will not reduce any mandatory rights available to users under applicable law.

45. Entire Agreement

These Terms, together with:the Privacy Policy;any supplemental terms applicable to specific products or services; andany notices incorporated by reference,constitute the complete agreement between you and Emerge LLC regarding your use of FINU.

They supersede any previous agreements or understandings relating to the Services.

46. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, invalid or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it enforceable.

If modification is not possible, the affected provision shall be deemed severed.

The remaining provisions shall continue in full force and effect.

47. No Waiver

Failure by Emerge LLC to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

Any waiver must be in writing and signed by an authorized representative of Emerge LLC.
